1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Rockwell Consulting Group LLC, a Pennsylvania limited liability company ("Rockwell," "we," "us," or "our"), governing your access to and use of the RKWL Protective Services Platform, including all associated features, tools, forms, and AI-generated content (collectively, the "Platform").
By creating an account, accessing the Platform, or using any of its features, you represent that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Platform.
2. Who May Use the Platform
The Platform is intended for use by security professionals, executive protection operators, corporate security teams, physical security consultants, and enterprise risk and protective services teams. By using the Platform, you represent that:
- You are at least 18 years of age
- You have the authority to enter into these Terms on behalf of yourself or your organization
- Your use of the Platform will comply with all applicable laws and regulations
- You will use the Platform solely for lawful professional security operations purposes
3. Account Registration and Security
Access to the Platform requires account registration. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to:
- Provide accurate and complete registration information
- Notify us immediately of any unauthorized access to your account
- Not share your credentials with any unauthorized person
- Not create accounts on behalf of others without authorization
Rockwell reserves the right to suspend or terminate accounts that violate these Terms or that we believe have been compromised.
4. Permitted Use
Subject to these Terms, Rockwell grants you a limited, non-exclusive, non-transferable license to access and use the Platform for your internal professional security operations. You may use the Platform to:
- Create, manage, and store executive protection operation records
- Generate advance reports, threat intelligence assessments, and security documentation
- Collaborate with authorized team members within your organization
- Export and distribute reports generated through the Platform for legitimate security operations purposes
5. Prohibited Use
You may not use the Platform to:
- Conduct surveillance, stalking, harassment, or any activity targeting individuals without lawful authorization
- Collect or process personal data in violation of applicable privacy laws
- Attempt to reverse engineer, decompile, or extract source code from the Platform
- Introduce malware, viruses, or any malicious code
- Attempt to gain unauthorized access to any part of the Platform or its infrastructure
- Use the Platform for any illegal purpose or in violation of any applicable law or regulation
- Resell, sublicense, or otherwise commercially exploit the Platform without written authorization from Rockwell
- Use AI-generated outputs as the sole basis for security decisions without human review and verification
6. AI-Generated Content
The Platform uses artificial intelligence to assist in generating reports, threat assessments, and security documentation. You acknowledge and agree that:
- All AI-generated content is provided as a draft starting point and must be reviewed and verified by a qualified security professional before operational use
- Rockwell makes no warranty regarding the accuracy, completeness, or fitness for purpose of AI-generated outputs
- You are solely responsible for verifying all AI-generated content before relying on it for any security operation
- AI outputs should never replace the judgment of a trained and experienced security professional
7. Data and Confidentiality
You retain ownership of all operational data, reports, and content you create or upload through the Platform ("Customer Data"). By using the Platform, you grant Rockwell a limited license to store and process your Customer Data solely as necessary to provide the Platform services.
Rockwell will not sell, share, or disclose your Customer Data to third parties except as required to provide the Platform services, comply with legal obligations, or as described in our Privacy Policy.
You acknowledge that operational security data entered into the Platform may be sensitive. You are responsible for ensuring that your use of the Platform complies with any confidentiality obligations you have to your clients or employers.
8. Intellectual Property
The Platform, including its design, features, code, branding, and all related intellectual property, is owned by Rockwell Consulting Group LLC. Nothing in these Terms transfers any ownership of Rockwell's intellectual property to you.
You retain all rights to Customer Data you create. Rockwell does not claim ownership over reports or documents you generate using the Platform.
9. Availability and Modifications
Rockwell will make reasonable efforts to maintain Platform availability but does not guarantee uninterrupted service. We reserve the right to modify, suspend, or discontinue any feature of the Platform at any time with reasonable notice where practicable.
We may update these Terms from time to time. Continued use of the Platform after updates constitutes acceptance of the revised Terms. We will notify active users of material changes by email.
10. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
ROCKWELL DOES NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE PLATFORM OR ITS SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROCKWELL CONSULTING GROUP LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL ROCKWELL'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNTS PAID BY YOU TO ROCKWELL IN THE TWELVE MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless Rockwell Consulting Group LLC and its officers, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Platform, your violation of these Terms, or your violation of any applicable law or third-party right.
13. Governing Law and Disputes
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Pennsylvania, and you consent to personal jurisdiction in those courts.
14. Termination
Either party may terminate access to the Platform at any time. Rockwell may suspend or terminate your access immediately if you violate these Terms. Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
