1. Agreement to Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you and Rockwell Consulting Group LLC, a Pennsylvania limited liability company doing business as RKWL (“RKWL,” “Rockwell,” “we,” “us,” or “our”), governing your access to and use of the RKWL operational intelligence platform, including its associated features, tools, reports, applications, services, and content (collectively, the “Platform”).
By affirmatively accepting these Terms, accessing the Platform, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you use the Platform through an employer or other organization, your use may also be subject to a separate written agreement between that organization and RKWL. If these Terms conflict with such an agreement concerning your organization’s use of the Platform, the applicable organization-level agreement controls to the extent of the conflict.
If you do not agree to these Terms, you may not use the Platform.
2. Eligibility and Authorized Users
The Platform is intended for authorized professional use, including by executive protection personnel, corporate security teams, protective intelligence professionals, physical security personnel, security consultants, risk professionals, and other authorized users.
By using the Platform, you represent that:
- You are at least 18 years old.
- You are authorized to access the Platform through the account provided to you.
- You will use the Platform only for lawful and authorized professional purposes.
- Your use of the Platform will comply with applicable laws, regulations, contractual obligations, and organizational policies.
Your acceptance of these Terms as an individual user does not, by itself, modify or replace any separate written agreement between RKWL and your employer or organization.
3. Account Security
Your account is personal to you. You are responsible for protecting access to your account and for activity conducted through it.
You agree that you will:
- provide accurate information associated with your account;
- not share authentication credentials, magic links, multifactor authentication credentials, or other account-access mechanisms with unauthorized persons;
- not permit another person to use your account;
- promptly notify RKWL if you know or reasonably suspect that your account has been compromised; and
- not attempt to access another user's account or privileges without authorization.
RKWL may suspend or restrict an account when reasonably necessary to protect the Platform, its customers, users, data, systems, or security.
4. Limited Right to Use the Platform
Subject to these Terms and any applicable agreement between RKWL and your organization, RKWL grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Platform for authorized professional purposes.
Authorized use may include creating and managing protective operations, conducting advances and site assessments, generating operational intelligence and security documentation, maintaining authorized itineraries and operational records, collaborating with authorized personnel, and exporting or distributing reports for legitimate business and protective-services purposes.
No rights are granted except those expressly provided in these Terms or an applicable written agreement.
5. Prohibited Use
You may not:
- use the Platform for unlawful surveillance, stalking, harassment, unauthorized targeting, or other unlawful activity;
- collect, process, or use personal information through the Platform in violation of applicable law or without appropriate authorization;
- reverse engineer, decompile, disassemble, decode, or otherwise attempt to derive source code or non-public architecture, models, algorithms, prompts, scoring methodologies, processes, or underlying operation of the Platform;
- copy or reproduce RKWL's non-public methodologies, workflows, report structures, processes, designs, or functionality for the purpose of developing or assisting a competing product or service;
- scrape, crawl, systematically extract, harvest, or reproduce Platform data, reports, content, or functionality except through functionality intentionally provided by RKWL;
- use the Platform, Platform outputs, or RKWL's non-public information to train, develop, improve, evaluate, or benchmark an artificial intelligence, machine-learning, software, or competing technology product without RKWL's prior written authorization;
- conduct penetration testing, vulnerability testing, automated security scanning, or similar testing against the Platform without RKWL's prior written authorization;
- circumvent authentication, permissions, feature entitlements, subscription controls, usage restrictions, or other technical controls;
- introduce malware, malicious code, or other harmful material;
- attempt to gain unauthorized access to RKWL systems, infrastructure, accounts, or data;
- resell, sublicense, commercially exploit, or provide unauthorized third-party access to the Platform; or
- use Platform outputs as the sole basis for emergency, life-safety, security-response, or similarly high-impact decisions without appropriate human review and verification.
6. Operational Intelligence, Automated Analysis, and AI
RKWL is an operational intelligence and decision-support platform. The Platform may combine information provided by users with third-party data, public information, APIs, automated analysis, artificial intelligence systems, and other information sources.
Such information may occasionally be incomplete, delayed, unavailable, or inaccurate.
You are responsible for reviewing and verifying Platform information as appropriate to the circumstances before relying on it operationally. Information concerning locations, routes, medical facilities, law enforcement, weather, traffic, events, threats, or other operational considerations may change rapidly.
The Platform is intended to support, not replace, the judgment, procedures, training, and responsibility of qualified personnel.
RKWL should not be used as the sole basis for emergency response, life-safety decisions, security-response decisions, or other decisions where inaccurate or delayed information could create a substantial risk of harm.
7. Customer Data and Confidentiality
You or your organization, as applicable, retain ownership of information submitted to the Platform and operational content created through authorized use of the Platform (“Customer Data”).
You represent that you have the appropriate authorization to provide Customer Data submitted through your account.
You grant RKWL a limited right to host, store, transmit, process, and otherwise use Customer Data as reasonably necessary to provide, secure, maintain, support, troubleshoot, administer, and improve the Platform, subject to applicable law, our Privacy Policy, and any applicable written agreement with your organization.
RKWL does not sell Customer Data.
Because protective-services information may be sensitive, you are responsible for ensuring that information you submit is consistent with applicable confidentiality obligations, privacy requirements, and organizational policies.
Unless expressly authorized by RKWL for a particular use, you should not submit Social Security numbers, payment-card information, account passwords, authentication credentials, API keys, classified information, export-controlled information, protected health information, or similarly sensitive regulated information.
8. RKWL Confidential and Proprietary Information
The Platform contains non-public proprietary information belonging to RKWL.
This may include non-public Platform functionality, software, architecture, methodologies, workflows, processes, algorithms, scoring systems, data models, prompts, report structures, designs, interfaces, documentation, technical information, product plans, and know-how.
You may not disclose, reproduce, distribute, or make RKWL's non-public proprietary information available to unauthorized third parties except as reasonably necessary for your organization's authorized use of the Platform.
This Section does not restrict information that becomes publicly available through no violation of these Terms, was lawfully known to you independently of RKWL, or was lawfully obtained from a third party without a confidentiality obligation.
9. Intellectual Property
RKWL retains all right, title, and interest in and to the Platform and its underlying technology and intellectual property, including its software, source code, architecture, methodologies, workflows, processes, algorithms, scoring systems, data models, prompts, report structures, designs, interfaces, documentation, branding, know-how, modifications, improvements, and derivative works.
Nothing in these Terms transfers ownership of RKWL intellectual property to you or your organization.
You and your organization retain your respective rights in Customer Data and pre-existing intellectual property.
Reports and outputs generated through authorized use of RKWL may be used internally and for legitimate authorized operational purposes, subject to these Terms and any applicable organization-level agreement. Such use does not transfer ownership of the underlying Platform, methodologies, technology, or RKWL intellectual property embodied in or used to generate those outputs.
10. Feedback
If you voluntarily provide suggestions, recommendations, ideas, feature requests, or other feedback concerning RKWL, you grant RKWL the right to use and incorporate that feedback to develop, operate, and improve its products and services without compensation or obligation to you.
Providing feedback does not transfer to RKWL ownership of Customer Data, your organization's confidential information, or your or your organization's pre-existing intellectual property.
11. Third-Party Services and Information
The Platform may rely upon or interact with third-party services, APIs, mapping providers, data providers, artificial intelligence systems, public records, weather information, traffic information, event information, and other external sources.
RKWL does not control all third-party sources and cannot guarantee that third-party information will always be available, accurate, current, or complete.
Third-party services may also be subject to their own terms, availability limitations, and technical restrictions.
12. Platform Availability and Modifications
RKWL will make reasonable efforts to maintain Platform availability but does not guarantee uninterrupted or error-free operation.
RKWL may maintain, modify, update, add, remove, suspend, or discontinue Platform features as reasonably necessary for security, maintenance, development, legal compliance, business operations, or improvement of the Platform.
Where reasonably practicable and appropriate, RKWL may provide notice of material changes affecting customer use.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND EXCEPT AS EXPRESSLY PROVIDED IN A SEPARATE WRITTEN AGREEMENT BETWEEN RKWL AND YOUR ORGANIZATION, THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”
RKWL DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY OTHER WARRANTIES THAT MAY BE DISCLAIMED UNDER APPLICABLE LAW.
RKWL DOES NOT WARRANT THAT THE PLATFORM OR INFORMATION PROVIDED THROUGH IT WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETE, CURRENT, OR ACCURATE, OR THAT ALL DEFECTS WILL BE CORRECTED.
Nothing in this Section limits obligations expressly assumed by RKWL in a separate written agreement with your organization.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RKWL AND ROCKWELL CONSULTING GROUP LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS, INCLUDING LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
EXCEPT WHERE APPLICABLE LAW PROHIBITS SUCH A LIMITATION, RKWL'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM WILL NOT EXCEED THE AMOUNTS PAID TO RKWL FOR THE APPLICABLE PLATFORM SERVICES DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
If a separate written agreement between RKWL and your organization establishes different limitations or allocations of liability, that agreement controls to the extent of the conflict.
15. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless Rockwell Consulting Group LLC and its officers, employees, contractors, and agents from third-party claims, liabilities, damages, losses, and reasonable costs arising from your unlawful use of the Platform, your material violation of these Terms, or your violation of applicable law or third-party rights.
This Section does not supersede different indemnification provisions contained in an applicable written agreement between RKWL and your organization.
16. Suspension and Termination
RKWL may suspend or terminate your access when reasonably necessary to protect the Platform, customers, users, systems, confidential information, intellectual property, or security, or when RKWL reasonably believes your account is being used in material violation of these Terms.
Upon termination of your access, your authorization to use the Platform ends.
Provisions that by their nature should survive termination will survive, including provisions concerning confidentiality, intellectual property, prohibited use, disclaimers, limitations of liability, and other accrued rights and obligations.
17. Organization-Level Agreements
Your use of RKWL may also be governed by an evaluation agreement, pilot agreement, nondisclosure agreement, subscription agreement, order form, data-processing agreement, master services agreement, or other written agreement between RKWL and your organization.
These Terms govern your individual access and use of the Platform.
If these Terms conflict with an applicable written agreement between RKWL and your organization concerning the organization's use of the Platform, the applicable organization-level agreement controls to the extent of the conflict.
18. Changes to These Terms
RKWL may update these Terms from time to time.
When RKWL determines that a change is material or otherwise requires renewed consent, the Platform may require you to review and affirmatively accept the updated Terms before continuing to use RKWL.
RKWL will maintain version information associated with Terms presented for electronic acceptance.
Acceptance of one version of these Terms does not constitute acceptance of a later version for which RKWL requires renewed acceptance.
19. Governing Law and Disputes
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles.
Except where an applicable organization-level agreement provides otherwise, disputes arising from these Terms will be subject to the jurisdiction of the applicable state or federal courts located in Pennsylvania.
20. Electronic Acceptance and Records
By checking the acceptance box and selecting “Agree & Continue,” you affirmatively acknowledge that you have read, understood, and agree to these Terms.
RKWL may maintain an electronic record of your acceptance, including the applicable Terms version, date and time of acceptance, user account, IP address, and device or browser information.
Electronic acceptance of these Terms has the same effect as your written acceptance to the extent permitted by applicable law.
21. Privacy
RKWL's Privacy Policy describes how RKWL collects, uses, stores, and otherwise handles personal information associated with the Platform.
By using the Platform, you acknowledge that you have had the opportunity to review the Privacy Policy.
